What we do

Everything your LLC needs, in one place

The penalty that catches owners off guard

Form 5472: $25,000 for every year not filed

A single-member LLC owned by a foreign person must file Form 5472 with a pro forma 1120 for every year it has transactions with its owner, and putting money in to open it or paying its expenses already counts as one, even if the LLC had no revenue. The penalty for not filing it, or filing it incomplete, is $25,000 per form, per year.

FAQ

What owners living abroad ask us

My LLC had no income. Do I need to file anything?

Most likely, yes. Form 5472 does not depend on income but on transactions between the LLC and its owner: putting money in to open it or paying its expenses already counts. The state usually requires its annual report too.

Do I need a Social Security number or an ITIN?

Not for the EIN or for Form 5472. An ITIN is only needed in some cases, for example if you must file a personal non-resident return. We tell you whether that is your case.

Do I have to travel to the United States?

No. Everything is done online: documents are signed electronically and meetings are on WhatsApp or video call, on your schedule.

I did not file Form 5472 in past years. What should I do?

The sooner it is fixed, the better. We review which years are missing and explain your options before anything is filed.

Which countries do you work with?

We serve owners across Latin America, Spain and the rest of Europe, and anywhere else. We work in English and Spanish.

How much does it cost?

It depends on how many years and forms need to be filed. In the free review we give you a fixed price in writing, before we start.
